1. Acceptance of Terms

By accessing or using PMCaVa ("the Service"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Service.

2. Description of Service

PMCaVa provides vCoach-driven business intelligence tools for Small and Medium Businesses (SMBs). The Service includes the "vCoach" AI assistant and encompasses the following capabilities:

  • Financial Analysis & Forecasting: AI-assisted analysis of historical business data to generate forward-looking financial projections and cash flow forecasts.
  • Business Plan Building: Guided creation of structured business plans, including revenue modeling, cost planning, and growth scenario documentation.
  • Business Modelling & Scenario Planning: Construction and comparison of financial models across multiple business scenarios (e.g., growth, stress-test, break-even) to support strategic decision-making.
  • Strategic Planning & Recommendations: AI-generated strategic insights, action plans, and vCoach recommendations tailored to the user's business data and goals.
  • Business Management Support: Tools to assist with ongoing operational and financial management, including KPI tracking, hiring readiness analysis, and profitability assessment.

All capabilities are delivered as AI-assisted, informational tools. They do not constitute professional financial, legal, or business advisory services.

3. Pricing and Subscription Fees

PMCaVa may modify subscription fees, credit pricing, or introduce new charges. Any pricing changes will take effect at the start of your next billing cycle. We will provide at least 30 days' advance notice of any pricing changes.

4. Subscription Plans, Credit Allocation & Billing

PMCaVa operates on a credit-based model. When you subscribe to a paid plan, your payment method is charged a flat monthly fee. In return, your available credit balance is loaded with your plan's credit allocation within 30 days of your subscription payment being processed. You may also purchase additional credits at any time. vCoach features and AI-assisted actions are then deducted from your available credits as you use them — not charged directly to your payment method per action.

  • How Credits Work: Your subscription fee covers your plan's credit allocation, loaded into your available credit balance within 30 days of your subscription payment being processed. Additional credits may be purchased at any time and are added to your available balance. Each vCoach action consumes credits from your available balance. Your payment method is only charged for the flat plan fee or credit purchases — individual AI actions do not trigger separate charges.
  • Automatic Renewal: Your subscription renews automatically each month on your billing date unless you cancel before the renewal date. Your available credit balance is replenished with your plan allocation at the start of each new cycle.
  • Credit Expiry Policy: Plan credits and purchased credits have different expiry rules and different notification behaviour:
    • Plan Credits: The monthly credit allocation included in your subscription is valid for 30 days from the date your subscription payment is processed. Unused plan credits are automatically zeroed after 30 days and do not roll over. No expiry reminder is sent for plan credits — it is your responsibility to use them within the 30-day window.
    • Purchased Credits: Additional credits purchased separately are valid for 365 days from the date of purchase and are not affected by your monthly billing cycle reset. We will send you email reminders at 7 days, 3 days, and 1 day before your purchased credits expire, giving you advance notice to use them.
    In both cases, expired credits are automatically removed from your available balance. Neither plan credits nor purchased credits have cash value and cannot be exchanged for currency or refunded.
  • Charge Timing: Your payment method is charged the flat monthly subscription fee at the start of each billing cycle.
  • How to Cancel: You may cancel your subscription at any time from your Account Settings. Cancellation takes effect at the end of your current billing period. No partial refunds are issued for unused subscription time or remaining credits within a billing cycle.
  • Payment Processing: All subscription payments are processed securely by Stripe, Inc. PMCaVa does not store your full credit card details on our servers. See Section 10 for more information on our payment processor.
  • Failed Payments: If a payment fails, we will notify you by email. Your available credit balance will not be replenished until payment is successful. Continued failure to pay may result in suspension or termination of your account.

5. Credit Usage and Refund Policy (Non-Refundable)

The Service utilizes a credit-based system for vCoach actions. Credits are added to your available balance upon subscription activation, renewal, or individual credit purchase. All subscription fees and credit purchases are final and strictly non-refundable. Credits have no cash value and cannot be exchanged for currency. Plan credits expire 30 days from the date your subscription payment is processed and do not carry over — no expiry reminder is issued for plan credits. Purchased credits expire 365 days from the date of purchase — reminder emails are sent at 7, 3, and 1 day before expiry.

6. AI-Generated Content & Limitations

The vCoach service uses Large Language Models (LLMs) to provide financial analysis, forecasts, business plan building, business modelling, scenario planning, and strategic recommendations. Important limitations you should know:

  • Decision-Support Only: vCoach is designed to assist your decision-making, not replace it. All AI-generated content — including business plans, financial models, and scenario outputs — should be reviewed and verified before use.
  • Not Professional Advice: vCoach is not a licensed accountant, financial advisor, business consultant, or lawyer. Business plans and financial models generated by vCoach are informational starting points, not certified professional deliverables. For tax, legal, investment, or complex financial decisions, consult qualified professionals.
  • Model Assumptions: Business models and scenario plans are built on assumptions derived from your inputs and historical data. Changes in market conditions, costs, or revenue may render these models inaccurate. You are responsible for reviewing and updating all assumptions.
  • Potential for Errors: AI may occasionally produce inaccurate, incomplete, or outdated information across all service areas including financial projections, business plans, and strategic recommendations. You are responsible for verifying all AI-generated content.
  • Your Responsibility: Business decisions made based on vCoach recommendations, models, or plans are your sole responsibility. We are not liable for outcomes resulting from AI-generated insights.

Best Practices for Using vCoach:

  • Review all AI-generated financial projections and business models with your accountant or financial advisor
  • Treat vCoach-generated business plans as working drafts — validate assumptions before presenting to lenders, investors, or partners
  • Verify all numbers, calculations, and scenario outputs before making business decisions
  • Use vCoach insights as one input among many in your decision process
  • Consult professionals for legal compliance, tax matters, and major investments

7. Limitation of Liability & No Liability

To the maximum extent permitted by applicable law, under no circumstances will PMCaVa, Syntrotex, or any of their respective suppliers, affiliates, officers, directors, employees, or agents be liable to you or to any other individual or entity for any direct, indirect, special, incidental, consequential, or other loss, claim, injury, or damage, whether foreseeable or unforeseeable — including without limitation:

  • Claims for damages for loss of profits or business opportunities
  • Use or misuse of, or inability to use, the Service or any device used in connection with the Service
  • Interruptions, deletion or corruption of files, loss of programs or information
  • Errors, defects, or delays arising out of or in any way connected with your access or use of the Service
  • Financial losses resulting from business decisions made using AI-generated recommendations or vCoach insights
  • Reliance on any forecast, projection, or strategic recommendation produced by vCoach

The foregoing limitations apply whether based on contract, tort, strict liability, or any other legal theory — and shall apply even if PMCaVa or Syntrotex has been specifically advised of the possibility of such damages.

Your sole remedy for dissatisfaction with the Service is to discontinue use of the Service.

8. Termination

We reserve the right to suspend or terminate your account for conduct that violates these Terms or is harmful to the Service.

9. Data Security and Privacy Protection

PMCaVa implements industry-standard security measures to protect your sensitive business information:

  • Encryption at Rest: All Personally Identifiable Information (PII) and sensitive business data are encrypted at-rest using industry-standard encryption protocols.
  • Data Masking for AI Processing: Before any data is sent to vCoach AI services, personally identifiable information is automatically masked or pseudonymized to prevent exposure of real identifiers to external AI processing systems.
  • Secure Infrastructure: We use enterprise-grade cloud infrastructure with robust security controls, regular security audits, and compliance with data protection best practices.
  • Access Controls: Your data is accessible only to you and authorized PMCaVa personnel as required for platform operation and support.

10. Payment Processing — Stripe

PMCaVa uses Stripe, Inc. as its third-party payment processor for all subscription billing and credit card transactions. By providing your payment information, you acknowledge and agree to the following:

  • Data Shared with Stripe: When you make a payment, your payment details (name, card number, billing address) are transmitted directly to Stripe for processing. PMCaVa does not store your full card number on our servers.
  • Stripe's Data Collection: Stripe may independently collect transactional data, device identifiers, and information about your payment method as part of processing your transaction and for fraud prevention purposes.
  • Canadian Identity Verification: For Canadian users, our payment processor may obtain information from credit agencies to verify your identity as required by applicable law and financial regulations. By completing your registration, you consent to this verification.
  • Stripe's Privacy Policy: Stripe's handling of your data is governed by Stripe's Privacy Policy, available at stripe.com/privacy.
  • PCI Compliance: Stripe is PCI DSS compliant. Payment data is processed in a secure environment that meets industry standards for card data protection.

11. Bank Account Connectivity — Plaid

PMCaVa offers optional bank account connectivity to enable automated financial data import for forecasting and analysis. This feature is powered by Plaid Technologies, Inc.

  • Your Consent: By connecting your bank account through PMCaVa, you expressly authorize PMCaVa and Plaid to access your financial institution, retrieve your account information, transaction history, and account balances on your behalf.
  • What Plaid Accesses: When you connect your bank, Plaid retrieves account details, transaction history, and balances from your financial institution using secure, read-only access. PMCaVa does not store your banking credentials.
  • How PMCaVa Uses Bank Data: Retrieved financial data is used solely to provide vCoach financial analysis, forecasting, and business insights within the PMCaVa platform. We do not sell or share your bank data with third parties outside of the services described in these Terms.
  • Revoking Access: You may disconnect your bank account and revoke Plaid's access at any time from your PMCaVa Account Settings. You may also manage your connected accounts directly at my.plaid.com.
  • Plaid's Privacy Policy: Your use of the bank connectivity feature is also subject to Plaid's End User Privacy Policy, available at plaid.com/legal.
  • Data Retention: Bank transaction data imported via Plaid is retained for as long as your PMCaVa account is active. Upon account deletion, all imported financial data is permanently removed from our systems within 30 days.

12. Third-Party Services

PMCaVa integrates with the following third-party services to deliver its features. Each third party processes data under their own privacy policies and terms of service:

  • Stripe, Inc. — Payment processing. stripe.com/privacy
  • Plaid Technologies, Inc. — Bank account connectivity. plaid.com/legal
  • Google LLC (Gemini AI) — AI processing for vCoach features. Data sent to Google is masked of personally identifiable information prior to transmission. policies.google.com/privacy

PMCaVa is not responsible for the privacy practices or content of these third-party services. We encourage you to review their respective policies.

13. Choice of Law

These terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions.
